Recovea CLI & Local Tools — Terms of Use

These Terms of Use (these "CLI Terms") govern your download and use of Recovea's command-line and local developer tools published by Recovea, Inc., a Delaware corporation ("Recovea," "we," "us"), including the recovea command-line interface and its scan, install, uninstall, and status commands, the recoveactl operator tool, and the standalone Ledger verifier (collectively, the "CLI"). Recovea is a bootstrap-funded United States company; nothing in these CLI Terms concerns any investment or securities.

The CLI is a local companion to Recovea's hosted services (the "Service"). Your use of the Service is governed by the Service Agreement (Recovea's Terms of Service or a signed Master Subscription Agreement, with the Acceptable Use Policy, Privacy Policy, BYO-Key Addendum, and other incorporated documents). These CLI Terms govern only the local tools. To the extent the CLI or any component is published under an open-source license, that open-source license governs that component (see Recovea's SDK, Open-Source & Open-Spec License), and these CLI Terms apply only to use not otherwise governed by it. Capitalized terms not defined here have the meanings given in the Service Agreement.

By installing or using the CLI, you agree to these CLI Terms. The CLI is offered to business users for business purposes; users must be at least 18.

PLEASE READ: THESE CLI TERMS INCORPORATE THE SERVICE AGREEMENT'S BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER (TERMS OF SERVICE §24 / MSA §23), INCLUDING ITS CONSUMER-RULES FALLBACK AND MASS-ARBITRATION PROTOCOL, AND ITS LIMITATION OF LIABILITY. THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS. SEE SECTION 4.4. As a product requirement, the CLI's first sign-in / first-authentication flow must present a conspicuous notice of the arbitration agreement and class-action waiver and record the acceptance event (account, timestamp, and terms version), mirroring ToS §1.1; Recovea does not rely on installation alone as assent to the arbitration agreement.

1. What the local tools do

1.1 recovea scan — local, no account, no upload. The scan command reads a usage export you point it at and computes a spend breakdown entirely on your machine. It does not require an account or a Recovea API key, does not upload your file or its contents to Recovea, and does not transmit your prompts, completions, or other content anywhere. Cost figures are computed against a frozen, embedded reference price list and are estimates you can re-derive yourself; models not on the list are disclosed and excluded, never silently priced. The scan does not assert any savings figure and labels its pointers as estimates, not guarantees.

1.2 recovea install / uninstall — reversible configuration toggle. The install command writes a clearly fenced, reversible block to your shell configuration (for example, ~/.bashrc / ~/.zshrc) that points standard provider base-URL environment variables at the Service and substitutes your Recovea API key (rcv_); uninstall removes exactly that block. This is a design objective and a reversible exit, not a warranty. You are responsible for your own configuration and for verifying the change; the tool is designed not to truncate or alter content outside its fenced block. Your AI inference traffic does not flow through the CLI; when the toggle is enabled, your tools reach the Service over the network as governed by the Service Agreement.

1.3 recoveactl and the verifier (not published today). recoveactl and the standalone verifier are not published as of the date above; see Section 2.1.1. If and when Recovea publishes them, they are local tools for authenticated operators and for offline re-derivation of Ledger records you have exported. Their use of the Service and of your credentials is governed by the Service Agreement and the applicable open-source or component license.

1.4 Local key handling. Where the CLI stores your Recovea API key, it stores it locally (for example, in a file with restrictive permissions) and transmits it only as part of your authenticated use of the Service. You are responsible for safeguarding your device, credentials, and keys, and for not committing keys to source control.

2. License; restrictions

2.1 License. Except for components published under an open-source license (which are governed by that license), Recovea grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the CLI in object/binary or published form on devices you own or control, for your internal business use of the Service.

2.1.1 What is published today, and under what license. The only CLI component Recovea publishes today is the recovea npm package, and it is published under the MIT License: the license file ships inside the package and package.json declares "license": "MIT". That MIT license governs it, and the limited license in Section 2.1 neither narrows nor revokes it. recoveactl and the standalone Ledger verifier are not published today; Sections 2.1 and 2.2 apply to them if and when Recovea publishes them other than under an open-source license.

2.2 Restrictions. You may not: (a) redistribute, sell, or make the CLI available to third parties as a service, except as permitted by an applicable open-source license; (b) reverse engineer or attempt to derive non-public source, except as applicable law or an open-source license permits; (c) circumvent metering, licensing, security, or the integrity of the Ledger; (d) use the CLI to develop a competing product or to benchmark for a competitor; (e) use any CLI output, Usage Data, or Ledger record to train, fine-tune, or build a competing model or dataset, except as expressly permitted; or (f) use the CLI in violation of the Service Agreement, the Acceptable Use Policy, any Provider's terms, or applicable law. The Recovea name and marks are not licensed under any open-source license and remain subject to the Trademark & Verified-Mark Policy.

3. Privacy; telemetry

The CLI is designed to be local-first and metadata-minimal. recovea scan performs no network upload of your usage file. Any diagnostic or usage telemetry the CLI may send is described in, and governed by, the Telemetry & Developer-Tools Data Policy and the Privacy Policy, which are incorporated by reference; secrets are scrubbed from any diagnostic payload, and the CLI does not exfiltrate Inference Content.

4. Disclaimers; limitation of liability; general

4.1 AS IS. THE CLI IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, to the maximum extent permitted by law, including the disclaimer of all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement (UCC § 2-316). Recovea does not warrant that the CLI is uninterrupted or error-free, that the toggle will set or revert your configuration in every circumstance, or that any cost figure, estimate, or pointer reflects a particular result. You should verify configuration changes and maintain your own backups. This disclaimer operates with, and is no narrower than, the disclaimers in the Service Agreement.

4.2 Liability. To the maximum extent permitted by law, Recovea is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, and Recovea's total aggregate liability arising out of or relating to the CLI is subject to, counts toward, and does not enlarge, the aggregate liability cap and related carve-outs in the Service Agreement, which are incorporated by reference and control. Nothing limits liability that cannot be limited under applicable law.

4.3 Indemnification. You will defend, indemnify, and hold harmless Recovea from third-party claims arising out of your use of the CLI in violation of these CLI Terms, the Service Agreement, or applicable law, subject to the procedures in the Service Agreement.

4.4 Governing law; disputes; export. These CLI Terms are governed by the laws of the State of Delaware (excluding conflict-of-laws rules and the CISG), and are subject to the binding arbitration, class-action waiver, delegation, batch-arbitration, jury-trial-waiver, and court carve-out provisions of the Service Agreement, which are incorporated by reference and apply identically, seated in Wilmington, Delaware. You will not export, re-export, or use the CLI in violation of U.S. export-control or sanctions law.

4.5 General. These CLI Terms supplement and do not supersede the Service Agreement or any applicable open-source license; on conflict, the open-source license governs the component it covers, the Service Agreement governs the Service, and these CLI Terms govern the local tools. The Service Agreement's confidentiality, IP, U.S. Government end-user, electronic-acceptance, assignment, force-majeure, severability, no-waiver, notice, and entire-agreement provisions apply here as if restated. Sections 1.1, 1.2, 2.2, 3, and 4 survive termination. Questions: legal@recovea.ai.
