Recovea Support Policy

1. Introduction and Scope

This Support Policy (this "Policy") describes the technical support that Recovea, Inc., a Delaware corporation ("Recovea," "we," "us," or "our"), makes available to its business customers in connection with the Service. Recovea is a bootstrap-funded United States company; nothing in this Policy concerns investment or securities.

This Policy is incorporated by reference into, and forms part of, the agreement between Recovea and the Customer governing the Customer's access to and use of the Service — whether that agreement is Recovea's online Terms of Service (the "ToS"), a Master Subscription Agreement ("MSA"), or a signed Order Form (collectively, the "Agreement"). Capitalized terms used but not defined in this Policy have the meanings given to them in the Agreement. In the event of a conflict between this Policy and the body of the Agreement, the order of precedence set out in the Agreement controls.

For purposes of this Policy:

  • "Service" means the Recovea platform and all related products, features, application programming interfaces, software development kits, tooling, and managed services that Recovea makes available from time to time, as further described in the Agreement. The Services may include metering, observability, optimization, routing, spend-control, reporting, analytics, additional features and capabilities Recovea may offer. Any such capability is governed by the terms in effect when Recovea makes it available and is not active or licensed under this Policy unless Recovea expressly states otherwise.
  • "Customer" means the business entity that has subscribed to or is otherwise authorized to access the Service under the Agreement.
  • "Authorized User" means an individual whom the Customer permits to access and use the Service on the Customer's behalf.
  • "Support" means the technical support services described in this Policy.
  • "Support Request" means a request for Support submitted by the Customer or an Authorized User through an authorized Support channel.
  • "Complete Support Request" means a Support Request that includes the information the Customer is required to provide under Section 4.1, in sufficient detail to enable Recovea to identify, triage, and begin responding to the request.
  • "Customer Personal Data" means personal data (as defined by applicable data-protection law) that Recovea Processes on the Customer's behalf in connection with the Service or Support.
  • "Business Hours" means 9:00 a.m. to 5:00 p.m. United States Eastern Time, Monday through Friday, excluding United States federal holidays and any other days Recovea designates as closed.
  • "First-Response Target" means the non-binding target interval, measured during Business Hours, within which Recovea aims to provide an initial substantive response to a Complete Support Request, as described in Section 6.

1.1 Business-Only; No Consumer Support or Warranty Obligation

The Service and this Policy are made available solely to business customers for business and commercial purposes. The Service is not intended for, offered to, or directed at consumers, and it is not for personal, family, or household use. Authorized Users must be at least 18 years of age. Nothing in this Policy creates, and Support does not constitute, any consumer-protection obligation, consumer warranty, consumer remedy, or any other right or obligation owed to a consumer or a natural person acting in a personal capacity. To the maximum extent permitted by applicable law, any consumer-facing support, warranty, or remedy regime that would otherwise apply is excluded. This Policy supplements, and does not enlarge, the warranties and remedies expressly set out in the Agreement.


2. Support Tiers and Eligibility

Support is provided according to the Customer's then-current subscription tier. Pricing and tier configurations are as set out in the Customer's Order Form or in Recovea's then-current published pricing, and may be updated by Recovea from time to time in accordance with the Agreement. The following tiers apply as of the Last updated date; the specific monetary amounts are as set out in the applicable Order Form or Recovea's then-current published pricing.

2.1 Free Tier

The Free tier provides in-path, observe-only access to the Service (metered, metadata-only, with no Levers or spend-control enforcement). Customers on the Free tier may submit Support Requests through the email and self-service channels described in Section 4. Recovea provides Support for the Free tier on a reasonable-efforts, as-available basis only. Recovea does not commit to any First-Response Target for the Free tier, and no response interval, prioritization, or staffing level is promised, implied, or warranted for the Free tier. Recovea may deprioritize, limit, suspend, or decline Free-tier Support at its discretion.

2.2 Paid Tier

The paid tier provides in-path gateway access together with the full control surface and, where enabled on the plan, the Levers described in the Agreement. Customers on the paid tier are eligible for the Support channels in Section 4 and for the non-binding First-Response Targets in Section 6, in each case during Business Hours and subject to the limitations of this Policy.

2.3 Tier and Offering Changes

Recovea reserves the right, in its sole discretion, to introduce, modify, rename, consolidate, or discontinue Support tiers, channels, targets, and the contents of any tier, and to add, change, or retire features of the Service, in accordance with the Agreement. Recovea may offer subscription, usage-based, and other alternative pricing models from time to time; any savings- or outcome-based model applies only on the Customer's separate, affirmative election and under a separate Order-Form schedule. Eligibility for a given level of Support is determined by the Customer's tier and account standing (including payment of applicable Fees) at the time a Support Request is made. Support is provided only to Customers whose accounts are active and in good standing; Recovea may withhold or suspend Support for accounts that are past due, suspended, or in breach of the Agreement or the Acceptable Use Policy.


3. What Support Covers

Subject to the Customer's tier and to this Policy, Support is intended to help the Customer with:

  • questions about configuring and using documented features of the Service;
  • assistance diagnosing suspected errors, defects, or failures of the Service to operate substantially in accordance with Recovea's then-current documentation;
  • guidance on connecting the Customer's own model-provider accounts and keys, on re-pointing the Customer's base URL, and on the Customer's use of the gateway, control surface, reporting, and the Ledger export and offline re-derivation tooling; and
  • general questions about account, billing, and subscription administration.

3.1 What Support Does Not Cover

Unless otherwise agreed in a signed Statement of Work or Order Form, Support does not include, and Recovea has no obligation to provide:

  • custom development, custom integration, bespoke configuration, scripting, data migration, or implementation services;
  • training, onboarding programs, solution architecture, or consulting beyond answering discrete Support Requests;
  • support for issues arising from the Customer's or any third party's hardware, networks, software, environments, or modifications not provided by Recovea;
  • support for the Customer's own third-party model-provider accounts, relationships, keys, billing, quotas, rate limits, or service levels (see Section 9), or for any other third-party product or service;
  • root-cause analysis, remediation, or workarounds for issues that Recovea cannot reproduce or that are outside the Service;
  • support relating to alpha, beta, preview, evaluation, experimental, or other pre-release features, which are provided "AS IS" with no Support obligation except as Recovea may elect;
  • recovery of data the Customer is responsible for retaining or exporting, beyond the export and re-derivation tooling Recovea makes generally available; or
  • any service, deliverable, or response level not expressly described in this Policy or in the Customer's Order Form.

Recovea may, but is not obligated to, provide assistance outside the scope described above, and any such assistance does not modify this Policy or create any commitment for the future.


4. Support Channels

Support is delivered through the following channels, as available to the Customer's tier:

  • Email / Support ticketing: support@recovea.ai (or such other address or in-product ticketing mechanism as Recovea designates from time to time). This is the primary channel for all Support Requests.
  • Self-service resources: Recovea's published documentation, knowledge base, in-product guidance, and similar self-service materials, which Recovea makes available on an as-available basis and may change at any time.
  • Billing and account inquiries: support@recovea.ai or such billing channel as Recovea designates.

Recovea does not offer telephone support, live chat with guaranteed availability, dedicated technical account management, or a 24x7 support line as part of standard Support, except where expressly stated in a signed Order Form. Recovea may add, remove, or change Support channels at any time. Support Requests submitted outside the authorized channels (for example, via personal email, social media, or direct messages to Recovea personnel) may not be tracked, prioritized, or answered.

4.1 Customer Responsibilities

To enable Recovea to provide Support efficiently, the Customer and its Authorized Users will:

  • submit Support Requests only through the authorized channels and from a verified account contact;
  • provide a clear description of the issue, the steps to reproduce it, relevant request identifiers, timestamps (with time zone), error messages, and other information Recovea reasonably requests, in each case excluding any provider secrets, credentials, or unnecessary personal data;
  • cooperate reasonably and respond on a timely basis to Recovea's requests for information; and
  • maintain reasonable technical competence to administer their own environment and to implement the configuration steps Recovea recommends.

A Support Request that includes the foregoing information constitutes a Complete Support Request for purposes of Section 6. Recovea's ability to meet any First-Response Target or to resolve any issue depends on the Customer's timely cooperation. Time during which Recovea is awaiting information, access, or action from the Customer does not count toward any target.


5. Hours, Staffing, and Language

Recovea provides Support during Business Hours. Recovea is a founder-led company with a small team and does not offer 24x7, around-the-clock, after-hours, weekend, or holiday Support as part of standard Support. Support Requests received outside Business Hours are treated as received at the start of the next Business Hours period.

Support is provided in English only. Recovea is not obligated to provide Support in any other language, and any accommodation in another language is at Recovea's discretion and does not modify this Policy.

Recovea determines, in its sole discretion, the staffing, tooling, and methods used to provide Support, and may rely on its founder, employees, contractors, and authorized service providers. No provision of this Policy entitles the Customer to any particular individual, headcount, response capacity, escalation path, or named contact, except as expressly stated in a signed Order Form.


6. First-Response Targets Are Non-Binding (No Service-Level Warranty)

For the paid tier, Recovea aims to provide an initial substantive response to a Complete Support Request submitted through the email or ticketing channel within the following non-binding First-Response Target, measured during Business Hours from Recovea's receipt of the Complete Support Request:

Recovea may, in its discretion, prioritize Support Requests by severity, with requests describing a complete loss of access to the in-path gateway affecting production traffic generally receiving the earliest attention; severity classification is determined by Recovea acting reasonably.

THE FIRST-RESPONSE TARGETS AND ANY OTHER TIME INTERVALS, SEVERITY LEVELS, PRIORITIZATION PRACTICES, OR RESPONSE OR RESOLUTION OBJECTIVES DESCRIBED IN THIS POLICY ARE INTERNAL, ASPIRATIONAL TARGETS ONLY. THEY ARE NOT GUARANTEES, COMMITMENTS, WARRANTIES, CONDITIONS, OR SERVICE-LEVEL OBLIGATIONS OF ANY KIND, AND THEY ARE PROVIDED "AS IS" AND "AS AVAILABLE." Recovea does not warrant that it will meet any target, that any Support Request will be answered, acknowledged, resolved, or resolved within any particular time, or that any issue is capable of resolution. Recovea may change or discontinue any target at any time. Nothing in this Policy creates an implied service-level warranty, an availability or uptime commitment, or any condition of merchantability, fitness, or workmanlike performance with respect to Support.

For clarity, any savings attributable to currently live capabilities of the Service are described as "measured" or "applied," not "verified," and are measured on the Customer's own traffic, net of quality. Alternative pricing models Recovea may offer from time to time are not active under this Policy and apply, if at all, only on the Customer's affirmative election under separately disclosed terms and a separate Order-Form schedule.

6.1 No Service Credits or Remedies

This Policy does not include, and the Customer is not entitled to, any service credits, refunds, rebates, price adjustments, penalties, or other monetary or non-monetary remedies arising from any actual or perceived delay in, deficiency of, or failure to provide Support, or from any failure to meet a First-Response Target. There is no service-credit regime. The Service is provided on a best-effort, fail-open basis without any contractual uptime or availability commitment, and Support is not a substitute for, and does not create, any such commitment. The Customer's sole and exclusive remedies with respect to the Service are those expressly set out in the Agreement, and the limitations of liability and disclaimers in the Agreement apply fully to Support and to this Policy.


7. Professional Services and Statements of Work

Any services beyond standard Support — including implementation, custom integration, custom development, data migration, solution architecture, training programs, dedicated onboarding, or ongoing managed-service engagements ("Professional Services") — are out of scope for this Policy and are provided, if at all, only under a separately executed statement of work or services schedule ("SOW") that references the Agreement. No Professional Services are owed, scheduled, or implied absent a signed SOW. Each SOW will set out the applicable scope, deliverables, assumptions, acceptance criteria, fees, and other terms. In the absence of contrary terms in a signed SOW, Professional Services are provided on a time-and-materials basis, any deliverables are provided "AS IS," any estimates of effort, timing, or outcome are non-binding estimates only, and the warranties, disclaimers, limitations of liability, and intellectual-property terms of the Agreement apply to the Professional Services and any deliverables. Recovea is under no obligation to enter into any SOW.


8. Honesty Boundary; Substantiation Discipline for Support Communications

Recovea's Support personnel and any other Recovea representative communicating with the Customer (each, a "Support Speaker") are bound by Recovea's claims-substantiation discipline. Accordingly, regardless of any statement a Support Speaker may make:

  • No guarantee of savings, outcomes, quality, or availability. No Support communication constitutes a guarantee of cost savings, financial outcome, model-output accuracy, fitness, quality, throughput, latency, uptime, or availability. Any figure relating to savings, cost, efficiency, or performance that a Support Speaker provides is an estimate unless Recovea has expressly designated it "verified" in writing in accordance with the Agreement. Recovea reserves the words "verified," "settled," and "proven" exclusively for savings that Recovea has expressly designated as such in writing.
  • Measured vs. verified. Any savings attributable to currently live capabilities of the Service are described as "measured" or "applied," not "verified," and are measured on the Customer's own traffic, net of quality. Alternative pricing or billing models Recovea may offer from time to time are not active and apply, if at all, only on the Customer's affirmative election under separately disclosed terms and a separate Order-Form schedule.
  • No statements beyond present capability. A Support Speaker will not promise capabilities, products, features, dates, roadmap items, certifications, or performance that do not presently exist, and will not represent any future or planned capability as available. Statements about possible future capabilities are forward-looking and non-binding.
  • No overstated security or compliance posture. A Support Speaker will not represent security controls, certifications (such as SOC 2, ISO 27001, or PCI), key-management mechanisms, high-availability, disaster-recovery, single-sign-on, or region configurations as live unless they are in fact live as described in Recovea's then-current Security Statement, which is the controlling and conservative reference. Where there is any conflict, the Security Statement and the Agreement govern over any informal Support communication.

No oral or written statement by a Support Speaker amends the Agreement, creates a warranty or commitment, or supersedes the disclaimers, the honesty boundary, or the limitations of liability in the Agreement. The Customer may not rely on any Support communication as a representation, warranty, or modification of the Agreement, and only a written amendment executed in accordance with the Agreement may modify it.


9. BYO-Key Model; Third-Party Providers Not Supported

The Service operates on a bring-your-own-key model. The Customer brings and owns its own third-party model-provider accounts, relationships, and API keys, and pays those providers directly. Recovea is a neutral conduit that proxies the Customer's in-path traffic on the Customer's own Provider Keys; Recovea does not resell, mark up, sponsor, fund, or take custody of provider tokens or provider spend, and Recovea is not a party to the Customer's agreements with its providers. Support does not extend to the Customer's provider accounts, billing, credentials, quotas, rate limits, model behavior, outages, content, or service levels, all of which are governed by the Customer's agreements with those providers and are the Customer's responsibility. Recovea may assist with the Customer's configuration of the gateway as it relates to those providers, but Recovea makes no representation or warranty regarding, and accepts no responsibility for, any third party or third-party output. The Service is designed to fail open and to fall back before the first token where a configured fallback applies; once tokens begin to stream, a failure surfaces as a clean error rather than a silent splice, and Recovea does not warrant mid-stream failover.


10. Confidentiality, Data, and Privacy

Information exchanged in the course of Support — including the contents of Support Requests, diagnostic data, and configuration details — is subject to the confidentiality provisions of the Agreement. The Customer should not transmit through Support channels any provider secrets, credentials, passwords, payment-card data, or other regulated or special-category data (as described in the Agreement and the Acceptable Use Policy), or any personal data that is not reasonably necessary to resolve the Support Request, and the Customer is responsible for redacting or omitting such information.

The parties' respective data-protection roles differ by data type. With respect to business-contact details, account-administration information, and diagnostic and operational data that the Customer or its Authorized Users submit through Support channels, Recovea acts as a controller, and Recovea's handling of such data is governed by Recovea's Privacy Policy. With respect to Customer Personal Data contained in Inference Content — meaning the prompts, inputs, outputs, and associated content that the Customer routes through the Service — Recovea acts as a processor on the Customer's documented instructions, and such Processing is governed by the Data Processing Addendum ("DPA"), which is automatically incorporated into and forms part of the Agreement where Recovea Processes Customer Personal Data on the Customer's behalf. As between the parties, the Customer is responsible for the lawfulness of any data it submits through Support channels. The Ledger integrity carve-out, data-retention, and erasure provisions of the Agreement, Privacy Policy, and DPA apply to data handled in connection with Support. Recovea may use anonymized, aggregated, or de-identified information about Support Requests to operate, maintain, and improve the Service consistent with the Agreement.


11. Warranties; Disclaimer

EXCEPT AS, AND ONLY TO THE EXTENT, EXPRESSLY SET OUT IN A SIGNED ORDER FORM OR THE BODY OF THE AGREEMENT, SUPPORT AND ALL RELATED MATERIALS, RESPONSES, RECOMMENDATIONS, AND DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECOVEA DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, WORKMANLIKE EFFORT, AND ANY WARRANTY THAT SUPPORT WILL BE TIMELY, UNINTERRUPTED, ERROR-FREE, OR THAT ANY ISSUE WILL BE RESOLVED. RECOVEA DOES NOT WARRANT ANY SAVINGS, FINANCIAL OUTCOME, UPTIME, AVAILABILITY, OR THE ACCURACY, QUALITY, OR FITNESS OF ANY THIRD-PARTY MODEL-PROVIDER OUTPUT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED THROUGH SUPPORT CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO THE EXTENT PROHIBITED BY LAW.


12. Limitation of Liability

The limitation-of-liability provisions of the Agreement apply in full to Support, to this Policy, and to any act or omission of any Support Speaker, and are incorporated by reference. Without limiting those provisions, and to the maximum extent permitted by applicable law: (a) neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost savings, lost data, lost goodwill, or business interruption, arising out of or relating to Support, regardless of the theory of liability and even if advised of the possibility of such damages; and (b) Recovea's aggregate liability arising out of or relating to Support is subject to, and counts against, the aggregate liability cap (and any enhanced cap) set out in the Agreement, and Recovea has no separate or additional liability for Support beyond that cap. The exclusions and limitations in this Section and in the Agreement apply except to the extent prohibited by applicable law, form an essential basis of the bargain between the parties, and apply notwithstanding any failure of essential purpose of any limited remedy.


13. Indemnification

The indemnification provisions of the Agreement apply to Support and to any deliverables or recommendations provided through Support, and are incorporated by reference. This Policy does not create any indemnification obligation beyond those set out in the Agreement.


14. Intellectual Property

As between the parties, Recovea and its licensors own all right, title, and interest in and to the Service, the documentation, all Support materials, tooling, methodologies, know-how, and any deliverables, configurations, recommendations, or other work product generated in the course of Support, together with all intellectual-property rights therein, subject only to the license expressly granted to the Customer to use the Service under the Agreement. No rights are granted by implication, estoppel, or otherwise. The Customer will not use the Service, any Support output, or the Ledger to train, fine-tune, or develop any machine-learning model or competing service, except as expressly permitted by the Agreement. Any feedback, suggestions, or ideas the Customer provides through Support may be used by Recovea without restriction or obligation, on the terms set out in the Agreement. RECOVEA and Recovea's other marks and logos remain the property of Recovea, and no Support communication grants any license to use them.


15. Term, Suspension, and Termination

This Policy applies for so long as the Customer maintains an active subscription to the Service under the Agreement and remains in good standing. Recovea may suspend, withhold, limit, or terminate Support, in whole or in part: (a) where the Customer's account is past due, suspended, or otherwise not in good standing; (b) where the Customer or an Authorized User is in breach of the Agreement, this Policy, or the Acceptable Use Policy; (c) where Support is requested for use cases outside the scope of this Policy; or (d) where required to protect the security, integrity, or availability of the Service or to comply with law. Support obligations terminate automatically on expiration or termination of the Agreement. Provisions that by their nature should survive — including the BYO-key conduit and fail-open disclaimers, the honesty boundary, disclaimers, limitations of liability, intellectual-property, confidentiality, data-protection, and dispute-resolution provisions — survive termination.


16. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to Support or this Policy is governed by, and will be resolved exclusively in accordance with, the dispute-resolution provisions of the Agreement, which are incorporated by reference. This Policy does not establish any separate or independent dispute-resolution, arbitration, or class-, collective-, or representative-action-waiver regime; the dispute-resolution, arbitration, and waiver terms of the Agreement govern, and nothing in this Policy expands, restricts, or duplicates those terms.


17. Governing Law

This Policy and any dispute arising out of or relating to it are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules, consistent with the governing-law provisions of the Agreement; venue and forum are as provided in the dispute-resolution provisions of the Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply.


18. Assignment

The Customer may not assign or transfer this Policy or any rights or obligations under it, whether by operation of law or otherwise, except as permitted by the Agreement. Recovea may assign this Policy in accordance with the assignment provisions of the Agreement. Any prohibited assignment is void. This Policy binds and benefits the parties and their permitted successors and assigns.


19. Force Majeure

Recovea is not liable for any delay or failure to provide Support to the extent caused by conditions beyond its reasonable control, including acts of God, natural disasters, fire, flood, severe weather, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, failures or disruptions of the internet, telecommunications, cloud-hosting, or power, third-party provider outages, and cyberattacks. The First-Response Targets and all other targets are suspended during any such event.


20. Notices

Notices relating to Support may be given through the Support channels in Section 4. Formal legal notices must be given in accordance with the notice provisions of the Agreement and, where directed to Recovea, sent to legal@recovea.ai and to Recovea's notice address at 2810 N Church St STE 89986, Wilmington, DE 19802. Recovea may provide operational and Support communications by email to the Customer's account contacts or through the Service.


21. Electronic Communications and Signatures

The Customer consents to receive communications relating to Support electronically, and agrees that electronic communications, records, and acceptances satisfy any legal requirement that such communications be in writing, consistent with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and similar laws. Any Order Form or SOW may be executed electronically.


22. Entire Agreement; No Third-Party Beneficiaries; Order of Precedence

This Policy, together with the Agreement and the other policies and addenda incorporated into it, constitutes the entire understanding between the parties regarding Support and supersedes all prior or contemporaneous understandings on that subject. This Policy supplements and is subject to the Agreement; in the event of a conflict, the Agreement controls except where the Agreement expressly provides that this Policy governs, and the order of precedence in the Agreement applies.

No person other than Recovea and the Customer is a third-party beneficiary of this Policy or the Agreement. Without limiting the foregoing, no Authorized User, end user, model provider, or other third party acquires any right of support, warranty, remedy, or enforcement under this Policy or the Agreement, and no such person may bring any claim under or in connection with it.


23. Severability

If any provision of this Policy is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed, and the remaining provisions will continue in full force and effect. To the extent the Agreement elects binding arbitration, any class-, collective-, or representative-action waiver provided under the Agreement is non-severable from the agreement to arbitrate, as and to the extent set out in the Agreement.


24. Modification of this Policy

Recovea may modify this Policy from time to time in accordance with the change provisions of the Agreement. The "Last updated" date at the top of this Policy indicates when it was last revised. Recovea will make the current version available through the Service or its website, and the Customer's continued use of the Service after an update constitutes acceptance of the updated Policy, except where applicable law or the Agreement requires affirmative consent. No modification of this Policy by the Customer, and no waiver by Recovea, is effective unless made in accordance with the Agreement.
